Bitte lesen Sie diese Allgemeinen Geschäftsbedingungen („AGB“) zunächst sorgfältig durch, bevor Sie GPS Navigation, GPS Navigation & Maps oder Forevermap (zusammen die „skobbler-Dienste“) auf Ihrem Mobilgerät starten. Durch Nutzung der skobbler-Dienste erklären Sie sich mit diesen AGB einverstanden. Sollten Sie diesen AGB nicht zustimmen, sehen Sie bitte davon ab, die skobbler-Dienste zu starten oder auf sonstige Weise zu nutzen.

EINLEITUNG

Diese AGB begründen einen Vertrag (der „Vertrag“) zwischen Ihnen und der Telenav GmbH („skobbler“) in Bezug auf die skobbler-Dienste. Die Begriffe „Sie“, „Ihre“ usw. bezeichnen in diesen AGB neben Ihrer Person auch alle Ihre Mitarbeiter, Handlungsbevollmächtigten und Auftragnehmer sowie sonstige juristische Personen, in deren Namen Sie diesen AGB zustimmen und für die diese Vereinbarung ebenfalls bindend ist.

DIE SKOBBLER-DIENSTE

Sofern dies von Ihrem Mobilfunkanbieter unterstützt wird, können Sie mit skobbler-Diensten über Ihr Mobilgerät GPS-gestützte Navigationsanweisungen zu weltweiten Zielen empfangen. Für die Nutzung der skobbler-Dienste fällt eine Gebühr an. Diese umfasst das Herunterladen der Software GPS Navigation und etwaiger Upgrades, Änderungen oder Erweiterungen dieser Software (zusammen die „skobbler-Software“) auf Ihr Mobilgerät, jedoch keine Hardware, die für bestimmte Mobilgeräte erforderlich sein kann (z. B. einen separaten GPS-Empfänger). Eine umfassende Beschreibung der skobbler-Dienste finden Sie auf der Website von skobbler unter http://www.skobbler.com/apps

Die skobbler-Dienste dürfen Sie nur für Ihre internen Geschäftszwecke bzw. ihre persönlichen Zwecke benutzen und nicht Dritten (seien es natürliche oder juristische Personen) weiterverkaufen, übertragen oder zur Verfügung stellen.

IHRE STANDORT- UND ROUTENDATEN

Damit skobbler Ihnen die skobbler-Dienste bereitstellen kann, muss skobbler Ihre Routendaten aufzeichnen und regelmäßig von der zu Ihrem Mobilgerät gehörenden GPS-Hardware Ihren GPS-Standort empfangen. Die Routendaten umfassen Ihre Startadresse, den zeitlichen Beginn Ihrer Tour und die angewiesene Route. Durch Nutzung der skobbler-Dienste erlauben Sie skobbler, auf Ihre GPS-Hardware zuzugreifen und auf sonstige Weise diese Standort- und Routendaten abzufragen, aufzuzeichnen, zu kompilieren und intern anzuzeigen. Diese Daten unterliegen skobblers Datenschutzbestimmungen, die über die Website www.skobbler.com abrufbar sind.

SICHERE UND RECHTMÄSSIGE NUTZUNG DER SKOBBLER-DIENSTE

Durch Nutzung der skobbler-Dienste stimmen Sie folgenden Bedingungen zu:

  • Sie werden alle geltenden Verkehrsregeln einhalten und allgemein eine sichere Fahrweise beachten.
  • Beim Fahren verlassen Sie sich auf Ihr eigenes Urteilsvermögen. Wenn Sie den Eindruck haben, dass die von den skobbler-Diensten vorgeschlagene Route Sie zu einem unsicheren oder unzulässigen Fahrmanöver anweist, Sie in eine gefährliche Situation bringt oder Sie in ein Gebiet leitet, das Ihnen unsicher vorkommt, dann befolgen Sie die betreffenden Anweisungen nicht.
  • Die Zielorteingabe und sonstige Interaktionen mit den skobbler-Diensten werden Sie nicht während der Fahrt vornehmen, sondern nur dann, wenn Ihr Fahrzeug an sicherer Stelle steht.
  • Sie werden die skobbler-Dienste nicht für unzulässige, unbefugte, unsachgemäße, unsichere, gefährliche oder ungesetzliche Zwecke oder auf eine sonstige gegen diesen Vertrag verstoßende Weise benutzen.
  • Sie werden alle GPS- und Mobilgeräte sowie Kabel, die zur Nutzung der skobbler-Dienste notwendig sind, in Ihrem Fahrzeug sicher anbringen, sodass sie Sie während der Fahrt nicht behindern und nicht die Funktionsweise von Sicherheitsvorrichten wie z. B. Airbags beeinträchtigen.

BEZAHLUNG

Bevor Ihre bezahlten skobbler-Dienste aktiviert werden, müssen Sie (i) skobbler ausreichende Zahlungsinformationen über einen App-Store zukommen lassen oder (ii) die skobbler-Dienste über Ihren Mobilfunkanbieter abonnieren und sich mit der Zahlung der jeweiligen Gebühren an diesen Anbieter einverstanden erklären.

Sie erklären sich damit einverstanden, alle Gebühren, die Ihnen für die skobbler-Dienste in Rechnung gestellt werden (einschließlich etwaiger Steuern auf Landes- oder Kommunalebene), zum Fälligkeitstermin gemäß skobblers jeweils geltenden Zahlungsbedingungen zu zahlen. skobbler behält sich das Recht vor, nach Ihnen gegenüber erfolgter Ankündigung von mindestens 30 Tagen im Voraus die Gebühren für die skobbler-Dienste zu ändern.

Wenn Ihre Kreditkarte nicht mit dem zu zahlenden Betrag belastet werden kann oder der belastete Betrag aus irgendeinem Grund zurückgebucht wird oder wenn Sie auf sonstige Weise die für die skobbler-Dienste fälligen Gebühren nicht bezahlen, behält sich skobbler das Recht vor, alle verfügbaren Rechtsbehelfe zu nutzen, um die von Ihnen geschuldeten Beträge einzutreiben und Ihre Zugriffsmöglichkeit auf die skobbler-Dienste auszusetzen oder zu beenden.

TELEFONGEBÜHREN

Alle Gebühren Ihres Mobilfunkanbieters für den Zugriff auf die skobbler-Dienste einschließlich Datenübertragungs- und Fernsprechgebühren, Out-of-Area- und Roaming-Gebühren sowie sonstigen Telefonverbindungsgebühren gehen zu Ihren Lasten. Standardgebühren für Messaging-Leistungen und sonstige Gebühren können anfallen, wenn Sie bestimmte Funktionen der skobbler-Dienste wie beispielsweise die „Shared Address“-Funktion nutzen.

skobbler behält sich das Recht vor, die angegebene Telefonnummer, unter der Sie auf die skobbler-Dienste zugreifen können, jederzeit zu ändern und gebührenfreie Rufnummern zu streichen.

VERTRAGSBEENDIGUNG

skobbler behält sich das Recht vor, diesen Vertrag ohne Frist Ihnen gegenüber zu kündigen. Im Fall so einer Kündigung wird skobbler von Ihnen im Voraus an skobbler entrichtete Gebühren anteilig für den zum Zeitpunkt der Kündigung verbleibenden Zeitraum erstatten, für den diese Gebühren im Voraus entrichtet wurden.

Sie können die skobbler-Dienste kündigen, indem Sie diese von Ihrem Mobilgerät löschen.

NUTZERKONTODATEN

Sie erklären sich damit einverstanden, (a) bei Ihrer Registrierung bei den skobbler-Diensten nur wahre, genaue, aktuelle und vollständige Angaben zu Ihrer Person zu machen und (b) skobbler unverzüglich über Änderungen dieser Angaben zu informieren, damit sie jederzeit wahr, genau, aktuell und vollständig sind.

Wenn Sie unwahre, ungenaue, unvollständige oder nicht der gegenwärtigen Sachlage entsprechende Angaben gemacht haben oder wenn skobbler Anlass hat, dies zu vermuten, dann ist skobbler berechtigt, Ihre Zugriffsmöglichkeit auf die skobbler-Dienste auszusetzen oder zu beenden.

Alle Kontodaten sowie sonstigen zahlungs- und personenbezogenen Daten, die Sie skobbler übermitteln, unterliegen skobblers Datenschutzbedingungen, die abrufbar ist unter http://www.skobbler.com/legal#privacy .

SOFTWARELIZENZ

Vorbehaltlich Ihrer Anerkennung dieser AGB gewährt skobbler Ihnen hiermit eine einfache, persönliche, nicht übertragbare Lizenz, (i) die skobbler-Software auf Ihr Mobilgerät herunterzuladen oder auf sonstige Weise auf Ihr Mobilgerät zu kopieren und (ii) die skobbler-Software (ausschließlich in Objektcode-Form) auf besagtem Mobilgerät zu nutzen, um auf die skobbler-Dienste zuzugreifen und diese zu nutzen.

Bei jedweder Beendigung des vorliegenden Vertrags wird skobbler Ihre Zugriffsmöglichkeit auf die skobbler-Dienste aussetzen bzw. beenden.

Abgesehen von der hier erteilten, eingeschränkten Lizenz verbleiben alle Eigentums- und sonstigen Rechte sowie Ansprüche an der skobbler-Software wie insbesondere alle Rechte des geistigen Eigentums bei skobbler. Sie verpflichten sich, Folgendes zu unterlassen:

  • Die skobbler-Software ganz oder teilweise zu dekompilieren, durch „Reverse Engineering“ nachzuahmen, zu disassemblieren, zu übersetzen, zu modifizieren, abzuändern oder auf sonstige Weise zu verändern.
  • Zu versuchen, den Quellcode, die Audiothek oder die Struktur der skobbler-Software ohne vorherige schriftliche Zustimmung von skobbler zu ermitteln.
  • Marken, Handelsnamen, Logos, Patent- oder Urheberrechtshinweise oder sonstige Hinweise oder Kennungen von skobbler oder skobblers Zulieferern von der skobbler-Software zu entfernen oder abzuändern.
  • Die skobbler-Software an Dritte zu vertreiben, unterzulizenzieren oder auf sonstige Weise zu übertragen.

RECHTLICHER HINWEIS

Im weitesten gesetzlich zulässigen Umfang ist die Haftung von skobbler sowie skobblers Lizenzgebern und Zulieferern sowie deren jeweiligen Handlungsbevollmächtigten und Mitarbeitern für Entscheidungen und Handlungen, die Sie im Vertrauen auf die von den skobbler-Diensten oder der skobbler-Software gelieferten Informationen treffen bzw. vornehmen, ausgeschlossen. Sie selbst tragen das gesamte Risiko im Zusammenhang mit Ihrer Nutzung der skobbler-Dienste und skobbler-Software.

SONSTIGE EINSCHRÄNKUNGEN

Sie erkennen an, dass die skobbler-Software in Ihrem eigenen Ermessen und auf Ihr eigenes Risiko auf Ihr Mobilgerät heruntergeladen wird.

Gelegentlich sind zeitweilige Unterbrechungen der skobbler-Dienste möglich (z. B. wenn Sie in ein Gebiet ohne Mobilfunkabdeckung fahren oder wenn die skobbler-Dienste oder das Netzwerk Ihres Mobilfunkanbieters gewartet werden), auf die skobbler keinen Einfluss hat. Zwar wird skobbler sich angemessen bemühen, solche Ereignisse zu begrenzen oder zu verhindern, haftet jedoch nicht für finanzielle Verluste oder sonstige Schäden, die aus derartigen Unterbrechungen resultieren.

Zudem kann skobbler nicht die Genauigkeit der für die skobbler-Dienste benutzten Karten oder sonstigen Daten gewährleisten. Diese Daten können beispielsweise aufgrund von Straßensperrungen, Bauarbeiten, Wetterverhältnissen, neuen Straßen und sonstigen Veränderungen nicht immer den realen Gegebenheiten entsprechen.

skobbler hat technologische und operative Sicherheitsrichtlinien und -verfahren eingerichtet, um Ihre Daten vor Verlust, Missbrauch, Veränderung oder versehentlichem Löschen zu schützen. skobbler kann jedoch keinerlei Garantie oder Gewährleistung hinsichtlich der Sicherheit der skobbler-Dienste oder der Datenübertragung zwischen skobbler und Ihrem Mobilgerät bieten. Im Fall eines unbefugten Eindringens in eines unserer Systeme haftet skobbler Ihnen oder sonstigen Personen gegenüber nicht.

HAFTUNGSBESCHRÄNKUNG

skobbler haftet unbeschränkt für Verletzungen oder sonstige Schäden an Leib, Leben oder Gesundheit, die durch skobbler, skobblers Vertreter oder skobblers Gehilfen bei der Erfüllung dieses Vertrages verschuldet werden. skobbler haftet außerdem unbeschränkt für jegliche Schäden, die skobbler, skobblers Vertreter oder skobblers Gehilfen vorsätzlich oder grob fahrlässig verursachen. Dies gilt ebenfalls für Schäden, die aus dem Fehlen einer zugesicherten Eigenschaft oder aus arglistigem von Verhalten skobbler resultieren. Für Schäden, die aus der leicht fahrlässigen Verletzung wesentlicher Vertragspflichten resultieren, und die nicht unter die Bestimmung von Satz 1 oder Satz 6 dieser Vorschrift fallen, haftet skobbler bis zur Höhe des vertragstypisch vorhersehbaren Schadens. Wesentliche Vertragspflichten sind abstrakt solche Pflichten, deren Erfüllung die ordnungsgemäße Durchführung eines Vertrages überhaupt erst ermöglicht und auf deren Einhaltung die Vertragsparteien regelmäßig vertrauen dürfen. skobblers Haftung nach dem Deutschen Produkthaftungsgesetz bleibt unberührt. Im Übrigen ist eine Haftung von skobbler ausgeschlossen. Die Verjährungsfrist für Schadensersatzansprüche gegen skobbler beträgt ein (1) Jahr, außer in Fällen nach Satz 1, 2, 3 oder 6.

ANWENDBARES RECHT

Dieser Vertrag, seine Erfüllung und Auslegung unterliegen dem Recht der Bundesrepublik Deutschland. Die Bestimmungen des Internationalen Privatrechts und das Übereinkommen der Vereinten Nationen über Verträge über den internationalen Warenkauf finden keine Anwendung.

SONSTIGES

Dieser Vertrag stellt die vollständige zwischen skobbler und Ihnen bezüglich des Vertragsgegenstandes geschlossene Vereinbarung dar. Wenn eine der Vertragsparteien die Geltendmachung einer Bestimmung nicht einfordert, so hat dies keinen Einfluss auf das weitere Recht dieser Partei auf Erfüllung. Der Verzicht, eine Leistungsstörung oder Verzug nicht weiter zu verfolgen stellt nicht den Verzicht auf die Verfolgung künftiger Leistungsstörungen oder künftigen Verzugs und auch keinen Verzicht auf die betreffende Vertragsbestimmung dar.

Sollte sich eine Bestimmung dieses Vertrags als nicht durchsetzbar erweisen, dann wird sie entsprechend der ursprünglichen Absicht der Parteien geändert. Die übrigen Vertragsbestimmungen bleiben weiterhin wirksam und in Kraft.

Sie sind nicht berechtigt, die Ihnen aus diesem Vertrag erwachsenden Rechte zu verkaufen, abzutreten oder sonst zu übertragen. Jeder Versuch dazu kann zur Kündigung dieses Vertrags ohne weitere Haftung von skobbler führen. Unbeschadet des Vorstehenden ist skobbler jederzeit berechtigt, diesen Vertrag ohne Ankündigung an eine mit skobbler verbundene Gesellschaft zu übertragen.

Durch Nutzung der skobbler-Dienste willigen Sie ein, von den skobbler-Diensten alle Mitteilungen einschließlich Hinweisen, Verträgen, gesetzlich vorgeschriebenen Angaben und sonstigen Informationen im Zusammenhang mit den skobbler-Diensten (zusammen die „Mitteilungen“) auf elektronischem Wege zu erhalten. Diese Mitteilungen kann skobbler entweder auf skobblers Webseiten posten oder auf Ihr Mobilgerät herunterladen. Wenn Sie nicht mehr damit einverstanden sind, Mitteilungen auf elektronischem Wege zu erhalten, müssen Sie die Nutzung der skobbler-Dienste einstellen.

GENERAL TERMS AND CONDITIONS

The Scout Maps and Navigation SDK and Scout Web Maps APIs are designed to provide professional developers with services, software and reference information that allow independent third party developers to include third party content information, Scout Maps (as defined below), plan routes, show points of interest on a map and other content made available by skobbler (“Content”) and technologies, including reference programs and programming interface information to link into and extend the features of skobbler services (“Scout Tools” and together with the Scout Maps, the “Services”) in your web pages or applications. For purposes of these Terms (as defined below), “Scout Maps” means OpenStreetMap maps enhanced to support navigation, route calculation and additional map functionality features such as improved geometry attributes, improved turn restrictions, additional road edges and additional FRC designations. skobbler (as defined below) reserves its right of full and exclusive ownership.

1. Use of the Service is Subject to these Terms. Your use of the Services is subject to the terms set forth below, including all exhibits attached hereto. Before you use the Services, you have to conclude a respective service agreement with the Telenav GmbH, Fasanenstr. 81, 10623 Berlin, Germany (“skobbler”), by accepting these Terms (the “Service Agreement”). You accept these Terms by accepting the terms on our developer website. We recommend that you read each of the documents comprising the Terms, and print or save a local copy for your records. The Service Agreement will be concluded in English language and will not be stored by skobbler. Before you sign-up for an account to use the Content, you may abort acceptance of the service agreement by clicking the “back”-button of your browser or by closing the browser window.

skobbler reserves the right to make changes to the Terms from time to time. When these changes are made, skobbler will make a new copy of the Terms available at http://www.skobbler.com/legal#termsSDK and will notify you via e-mail of said changes upfront. You understand and agree that if you use the Service after the date on which the Terms have changed, skobbler will treat your use as acceptance of the updated Terms. If a modification is unacceptable to you, you may terminate the agreement at any time by ceasing use of the Services.

2. Using the Services. When you accept these Terms, you represent that you have full power, capacity and authority to do so and that you act as an entrepreneur within the meaning of Sec. 14 of the German Civil Code. If you are accepting on behalf of your employer or another entity, you represent that you have full legal authority to bind your employer or such entity to these Terms. If you don’t have the legal authority to bind, please ensure that an authorized person from your entity consents to and accepts these Terms. You must post and abide by an appropriate privacy policy, and will comply with all applicable laws relating to the collection of information from visitors in connection with your Services Implementation (as defined below). These Terms may not be accepted by consumers within the meaning of Sec. 13 of the German Civil Code.

3. Limits on Your Use of the Service; Termination. You acknowledge and agree that your use of the Services shall be subject to the pricing structure set forth in Section 8 below. skobbler reserves the right in its reasonable discretion to cease providing all or any part of the Services or any prior version of the Services immediately without any notice if:

  • (i) You have breached any material provision of the Terms, in particular Section 6 (License Requirements) or Section 7 below (License Restrictions) (or you are unable to comply with such provisions of the Terms); or
  • (ii) skobbler is required to do so by law (for example, due to a change to the law governing the provision of the Service); or
  • (iii) providing a prior version of the Service could create an economic burden as determined by skobbler in its reasonable good faith judgment; or
  • (iv) providing a prior version of the Service may create a security risk or material technical burden as determined by skobbler in its reasonable good faith judgment.

4. skobbler’s Proprietary Rights. You acknowledge and agree that skobbler (or skobbler’s licensors and their suppliers, as applicable) owns all legal right, title and interest in and to the Services, including any intellectual property rights that subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights may exist).

5. Licenses.


5.1 Definitions.

  • (a) “Content” means any content provided through the Services (whether created by skobbler or its third party licensors), including Scout Maps or any other content.
  • (b) “Offline Maps” are map data that are stored on a mobile device and do not require an Internet connection to be accessed.
  • (c) “Online Maps” are map data that are stored on a server and do require an Internet connection to be accessed on a client device.
  • (d) “Services Implementation” means a software application or website that uses the Scout Maps and/or Scout Tools to obtain and display Content, according to these Terms.

5.2 Service License. Subject to these Terms (including but not limited to Section 6 (License Requirements)), skobbler gives you a personal, worldwide, non-assignable and non-exclusive license to use the Services as provided by skobbler. Use of the Services may be interrupted from time to time, in particular when the Services are undergoing regular or emergency maintenance; also, the Services may, as any software solution, not at all times be secure or free from error.

5.3 Content License. Subject to these Terms (including but not limited to Section 6 (License Requirements)), skobbler gives you a personal, worldwide, non-assignable and non-exclusive license to access, use, publicly perform and publicly display the Content in your Services Implementation, as the Content is provided in the Services, and in the manner permitted by these Terms. Specifically, you understand that the Content (including but not limited to the Scout Maps) is provided for planning purposes only and information obtained by you as a result of your use of the Services may not be entirely accurate or reliable. You may find that weather conditions, construction projects, closures, or other events may cause road conditions or directions to differ from the results depicted in the Content. You should exercise judgment in your use of the Content.

5.4 Hosting of Offline Maps. You may host Scout Maps on servers under your control in the event you provide Offline Maps in conjunction with your Services Implementation.

6. License Requirements. skobbler’s licenses above are subject to your adherence to the following requirements:

6.1 End User Terms and Privacy Policy. If you develop a Services Implementation for use by other users, you must:

  • (a) display to the users of your Services end user terms that are substantially similar to the End User Terms set forth at http://www.skobbler.com/legal#terms;
  • (b) explicitly state in your Services Implementation’s terms of use that, by using your Services Implementation, your users are agreeing to be bound by skobbler’s Terms of Use;
  • (c) protect the privacy and legal rights of those users. If your Services Implementation enables you or any party to gain access to information about users of the Services, including but not limited to personally identifying information or non-personally identifying usage information, you or the party receiving the information must make publicly available, and must abide by, an appropriate privacy policy in your Services Implementation; and
  • (d) must comply with the privacy regulations and policies that apply to such use of the Services and Content in the location of use of such Services Implementations.

6.2 Attribution. Content provided to you through the Services may contain the trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of skobbler, its partners, or other third party rights holders of content indexed by skobbler. You may not delete or in any manner alter these trade names, trademarks, service marks, logos, domain names, and other distinctive brand features. Furthermore, all use of the Services within your Services Implementation must provide attribution to skobbler, its partners, or other third party rights holders of the content provided through the Services. You shall provide attribution “©OpenStreetMap” on each map image and in the “About” page of your Services Implementation. You shall also state “Map rendering powered by Scout” and insert a link to http://developer.scout.me. You shall display the additional attribution set forth in http://developer.skobbler.com/attribution.

6.3 Responsibility for Breaches. You agree that you are solely responsible for (and that skobbler has no responsibility to you or to any third party for) any negligent or willful breach of your obligations under these Terms and for the consequences (including any loss or damage which skobbler may suffer) of any such breach.

7. License Restrictions. Except as expressly permitted under these Terms, or unless you have received prior written authorization from skobbler (or, as applicable, from the provider of particular Content), skobbler’s licenses above are subject to your adherence to all of the restrictions below. Except as explicitly permitted in Section 6, you must not (nor may you permit anyone else to):

  • • access or use the Services or any Content through any technology or means other than those provided in the Services, or through other explicitly authorized means skobbler may designate;
  • • copy, translate, modify, create a derivative work of, or publicly display any Content or any part thereof (for example, the following are prohibited: (a) creating server-side modification of map tiles; and (b) stitching multiple static map images together to display a map that is larger than permitted);
  • • reverse engineer, decompile or otherwise attempt to extract the source code of the Services or any part thereof, unless this is expressly permitted or required by applicable law;
  • • delete, obscure, or in any manner alter any warning, notice (including but not limited to any copyright or other proprietary rights notice), or link that appears in the Services or the Content;
  • • unless you have entered into a separate written agreement with skobbler or obtained skobbler’s written permission to do so, use the Service or Content with any products, systems, or applications for or in connection with any systems or functions for automatic or autonomous control of vehicle behavior;
  • • offer a batch geocoding service that uses Content contained in any Services; or
  • • hide or mask from skobbler the identity of your service as it uses the Services.

8. Fees

8.1 Fees; Payment Terms. As a registered user of the Services for purposes of implementation into a mobile application, you will receive the first (a) 1,000,000 map sessions, (b) 10,000 downloads or distributions of small country maps by you or your end users, and (c) 10,000 downloads or distributions of large country maps by you or your end users for free. For purposes of the Scout Maps and Navigation SDK, 1 map session equals unlimited usage of the map by one user (including panning, zooming, routing) for up to 10 minutes, including unlimited tile downloads and 10 calls to our routing/search servers during this 10 minute period. In the event 10 calls are reached, another map session will begin. For purposes of the Scout Web Maps APIs, 1 map session equals a full screen map at 1280 x 768 resolution that contains 15 (5x3) map tiles, 1 static map (independent of the size of the static map), and 1 RealReach™ API call. For purposes of these Terms, “RealReach™” is the functionality that calculates different routes based on a defined time frame or available energy for electric vehicles. In the event you exceed the usage limits set forth above, you shall pay skobbler in accordance with the schedule below:

For purposes of these Terms, “small country maps” will include maps for cities, counties, states and countries that are less than or equal to 150MB. For purposes of these Terms, “large country maps” will include maps for cities, counties, states and countries that are greater than 150MB. With respect to the distribution of maps by you to your end users, you shall report the number of distributions for each month by sending such report to dev@telenav.com within five (5) days of the end of each month.

8.2 Payment Terms. In the event you exceed the usage limits set forth above, you shall be invoiced at the end of the calendar month in which such overage occurred. The invoiced amounts are due the earlier of thirty (30) days following the end of the calendar month to which the royalty report applies, or fifteen (15) days from date of invoice. All payments shall be made in US Dollars.

8.3 Taxes. Fees due to skobbler are exclusive of all sales, use and similar taxes that may be imposed upon the transactions contemplated by these Terms (but excluding any taxes imposed on the net income of skobbler).

9. WARRANTIES.

Insofar as the Services provided to you by skobbler are free of charge, the statutory warranty provisions apply. Insofar as the Services provided to you by skobbler are charged by skobbler, skobbler will be liable as set forth in Section 10.2 below.


10. LIMITATION OF LIABILITY.


  • 10.1 Insofar as the Services provided to you by skobbler are free of charge, skobbler is subject to statutory liability.

  • 10.2 Insofar as the Services provided to you by skobbler are charged by skobbler, skobbler shall be liable
    • (a) for damages with respect to injuries to health, body or life or for intentional damages caused by us, our representatives, employees or our vicarious agents or according to the German Product Liability Act;
    • (b) for damages that arise from the lack of a guaranteed characteristic or gross negligence of us, our representatives, or designated agents; and
    • (c) in case of a slight negligent breach of a contractual core duty by skobbler, but only to the amount of the typically foreseeable damage. Contractual core duties abstractly are such duties whose accomplishment enables proper fulfillment of the contract in the first place and whose fulfillment a contractual party regularly may rely on.
    • Any further liability of skobbler shall be waived.


  • 10.3 Any claims of liability against skobbler expire after one (1) calendar year. Beginning of the expiry period is subject to the applicable statutory provisions.


11. Indemnity. You hereby agree to indemnify, defend and hold skobbler, its strategic partners, officers, directors, agents, affiliates, licensors and their suppliers (“the Indemnified Parties”) harmless from and against any claim or liability arising out of:


  • (a) Your use of the Services in breach of these Terms or applicable policies;

  • (b) Your Services Implementation;

  • (c) any use by users of your Services Implementation;

  • (d) any claim that your Services Implementation or your Content violates any applicable law, including but not limited to any claim that your Services Implementation infringes the rights of a third party.


You will cooperate as fully as reasonably required in the defense of any claim. skobbler reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You acknowledge that damages for improper use of the Services may be irreparable; therefore, skobbler is entitled to seek equitable relief, including but not limited to preliminary injunction and injunction, in addition to all other remedies.

12. Termination of the Terms.


  • 12.1 These Terms will continue to apply until the Service Agreement is terminated by either you or skobbler as set out below.

  • 12.2 If you want to terminate the Service Agreement, you may do so (i) by ceasing your use of the Services for at least two (2) consecutive months or (ii) by notifying skobbler of your termination via an email addressed to support@skobbler.com; or (iii) by notifying skobbler of your termination via a letter addressed to Telenav GmbH at Fasanenstr. 81, 10623 Berlin, Germany. Termination under no. (i) above shall become effective upon expiry of the two (2) consecutive months. Termination under no. (ii) or (iii) above shall become effective upon skobbler's receipt of your notice.

  • 12.2 skobbler reserves the right to terminate the Service Agreement with you at any time by notifying you of skobbler’s termination in text form (e.g. via e-mail). In addition, skobbler may terminate the Service Agreement in case:
    • (a) you have intentionally or negligently breached any material provision of these Terms;
    • (b) skobbler is required to do so by law; or
    • (c) skobbler decides to no longer provide the Services or certain parts of the Services to users in the country in which you are resident or from which you use the Service, or the provision of the Services to you by skobbler is, in skobbler’s sole discretion, no longer commercially viable.

  • 12.3 Upon termination of these Terms, all of the legal rights, obligations and liabilities that you and skobbler have benefited from, been subject to (or which have accrued over time whilst these Terms have been in force) or which are expressed to continue indefinitely, shall be unaffected by this cessation, and the provisions of paragraph 12 shall continue to apply to such rights, obligations and liabilities indefinitely.

13. General Legal Terms.


  • 13.1 When these Terms come to an end, those terms that by their nature are intended to continue indefinitely will continue to apply, including but not limited to: skobbler’s Proprietary Rights; Warranties; Limitation of Liability; Indemnity; and these General Legal Terms.

  • 13.2 You agree that if skobbler does not exercise or enforce any legal right or remedy contained in these Terms (or that skobbler has the benefit of under any applicable law), this will not be taken to be a formal waiver of skobbler’s rights and that those rights or remedies will still be available to skobbler.

  • 13.3 Any waiver of any provision of these Terms will be effective only if skobbler expressly states in a signed writing that it is waiving a specified provision.

  • 13.4 If any court of law that has jurisdiction rules that any provision of these Terms is invalid, then that provision will be removed from these Terms without affecting the rest of these Terms. The remaining provisions of these Terms will continue to be valid and enforceable.

  • 13.5 These terms may be assigned by skobbler and will inure to the benefit of skobbler, its successors and assigns.

  • 13.6 These Terms, and your relationship with skobbler under these Terms, will be governed by the laws of the Federal Republic of Germany, without regard to its conflict of laws provisions.

  • 13.7 You and skobbler agree to submit to the exclusive jurisdiction of the courts located in Hamburg, Germany, to resolve any legal matter arising from these Terms.

  • 13.8 Notwithstanding Section 13.7, you agree that skobbler will be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any competent jurisdiction.

  • 13.9 These Terms constitute the whole legal agreement between you and skobbler and governs your use of the Services and Content, and completely replace and supersede any prior agreements between you and skobbler, written or oral, in relation to the Services and Content.

  • 13.10 Divergent, conflicting or supplementary general terms and conditions used by you shall form part of the Service Agreement only if and to the extent that skobbler has given express written consent to their application. Individual agreements concluded between you and skobbler for specific cases (including supplementary agreements, additions and alterations) shall however in every case take precedence over these Terms. The content of such individual agreements shall be determined by a written contract or skobbler’s written confirmation.

1 INFORMATION TELENAV COLLECTS AND HOW WE USE IT

Use of our Telenav Platform

Depending on how you interact with us, we gather various information from different sources. Some collected information is provided directly by you (e.g., when you create an account to access our services) and other information is indirectly collected through your use of our technology, access our websites and/or use our services-- which include mapping, navigation, in car commerce and other services (collectively the “ Telenav Platform”).

The information collected through your interaction with and use of our Telenav Platform may include, but is not limited to, browser and device information, data collected through automated electronic interactions, application usage data, demographic information, geographic or geo-location or routing information, information from your vehicle sensors, statistical and aggregated information (“Other Information”). We may collect and use your Personal Data to provide you with our products and services, to process your requests or as otherwise may be necessary to perform the contract between you and Telenav, to ensure the functionality and security of our products and services, to identify you as well as to prevent and investigate fraud and other misuses.

We may also collect Personal Data and other information that you voluntarily provide. It is entirely your decision whether to provide the requested information, but certain features of our Telenav Platform may not be available if you elect not to provide the requested information (e.g. if you want to submit a request for support, but are unwilling to provide us with your name and email address).

Navigation Services

Each time you access navigation services, your location, search and route information, including your point of origin or current location, the address of your destination, the starting time of your trip, and the route you are instructed to follow are recorded and stored locally or in our cloud database. During an active navigation session, we periodically record your current location, data from your vehicle’s sensors, and GPS heading and speed from the GPS hardware associated with your vehicle in order to provide you with your route. Our navigation services also make use of your current location or route in order to respond to your requests for nearby points of interest (such as gas stations, restaurants, shopping, etc.). We maintain a database with these locations and route information and may use such information to improve our map coverage and to provide other features that may enhance your service capabilities, functions, and your user experience. We may periodically receive your current location or route from the GPS hardware associated with your wireless device for the purpose of providing enhanced services, including traffic flow data. When your location, GPS heading and speed are used for these purposes, we remove your Personal Data, such as your phone number, prior to storing. We may share such location data in anonymized form with our third-party partners performing research and analysis about traffic conditions and road segment usage.

Scout Mobile GPS Link (including Toyota & Lexus Users)

When your mobile device's location services are being used by Scout Mobile GPS Link or other third-party applications or your mobile operating systems services, the Scout Mobile GPS application may periodically collect and store data about your current location or route along with a non-personally identifiable version of your device ID to create an anonymous profile for advertising purposes. We may share this profile with third parties for advertising purposes or to provide or make available a product or service in connection with your location or route. Additionally, this location or route data may also be used by us for anonymous traffic flow data or floating car data. For additional information about this data usage and how to opt-out, please refer to the “Contacting Telenav” section below.

When you choose to use your current GPS location for specifying the locale for a business finder search or obtaining a map within one of our mobile applications, we use your location or route information for the requested purpose, and then discard it. We anonymously record any search activities and results for comparative analysis. Further, we anonymously record transactions for the purpose of paying directory listing and mapping data providers.

Location Sharing (GPS Navigator, Scout Mobile GPS Link, Partner-Branded Navigator Apps)

Some versions of our Telenav GPS Navigator application, Scout mobile application, and our partnered-branded versions of our Navigator application include a location and information sharing feature that enables you to share your location or other information with another party. These location exchanges are transmitted within the application or via the internet or text messages using SMS. For example, when you create, join, or navigate to a Meet Up with the Scout application, your name, profile photo, current location and/or ETA at the Meet Up location will be displayed on a map visible by other Meet Up participants. The Meet Up and your location and/or ETA will be removed from the map visible to other participants when you delete the Meet Up. We record these location exchanges. Also, if you set up a Notification within the app, the phone numbers you provide will be automatically notified via SMS message each time you arrive at or depart from the location you select. You can turn off a Notification from within the application's settings menu.

Contact Sharing (Scout Mobile GPS Link/ Scout Mobile Application)

In some versions of our Scout and Telenav navigation mobile applications, you can allow our application to access the data stored in the address book and/or calendar on your mobile device. Our applications may use data from your address book or from your Facebook or Google+ contacts (if you signed in with a Facebook or Google+ sign-in) to allow you to search for and navigate to the addresses of your contacts, chat with your contacts within the application, or create a Meet Up within the application. Our applications may use calendar entry data to provide you with reminders about upcoming appointments and to provide navigation to the locations of your appointments. We will only access this data if you have given permissions for a particular Telenav application to do so, and you can revoke such permissions at any time by changing the settings on your mobile device.

Ford Navigation and FordPass

When you use Ford Navigation services in connected mode or the FordPass application to search for a point of interest or an address, we receive and store your unique user ID assigned by Ford, your current GPS location and planned route and/or destination information, your address or point of interest search requests and search results selections, information about your use of the location and routing search service, its performance, and your related actions and selections. We may use this information to provide, improve, and enhance our products and services. It may also be shared with Ford in aggregated, anonymized format.

GM Users of Navigation, OnStar® Connected Navigation and Connected Navigation

Your most recent destinations will be saved to allow you to easily navigate to these destinations again.

When you choose to use your current location for specifying the locale for a business finder search, or obtaining a map, we use your location information for the requested purpose, and then discard it. For OnStar Connected Navigation users, we anonymously record any search activities and results for comparative analysis.

For GM Navigation-only users, location and route information will be stored on your navigation system’s local memory. For OnStar Connected Navigation and Connected Navigation users with an active subscription who have opted-in to use connectivity, location and route information in identifiable form will be stored in our secure cloud database, until your account is deleted, to allow us to understand what actions users are taking within a session and over time so as to improve our user interface, search results, ease of use, and accuracy and to develop other features that may enhance your user experience. For OnStar Connected Navigation and Connected Navigation users, your home and work addresses, favorite places, and recent destinations may also be stored with your account information in our secure cloud database until your account is deleted.

For OnStar Connected Navigation and Connected Navigation users who have enabled the predictive navigation functionality, we will regularly receive and record your location (latitude and longitude coordinates and road edges) from your vehicle’s GPS hardware, whenever you are operating your vehicle. This data will be stored in our secured cloud database until your account is deleted and we will use such information to customize and improve your navigation and search experience and our services, for example to provide preferred brand point of interest search results, personalized routing, and commute alerts.

Accessing Telenav Map & Data Services Through 3rd Party Applications

When you access Telenav map and data services through a third-party application, we receive and store your location and route information from your device along with any address or point of interest search requests along with associated destination location and route information. We maintain a database with locations, routes and search information and may use such information to improve our map coverage and to provide other features that may enhance your service capabilities, functions, and your user experience. Such data does not contain any Personal Data.

Scout Marketplace Application

When you use the Scout Marketplace application, we will maintain a record of orders you place and purchases you complete with third-party merchants. We will not directly store your credit card number. Your payment information (credit card number, expiration date, CVV code) is submitted to and maintained by our third-party payment platform provider -- for example, Stripe -- via a secure gateway. We ask you to refer to the third party’s privacy policy – for example, Stripe’s privacy policy -- for any details on how your data is being processed (https://stripe.com/privacy). When you make a purchase using Scout Marketplace, unique user tokens are passed between our platform, the payment platform provider and the merchant to initiate the purchase, verify payment and complete the transaction. We may use your Personal Data to resolve any disputes you may have with a merchant from whom you have purchased goods and/or services using our platform as well as to resolve any disputed charges you may have with our payment platform provider.

Additional Processing of Data

Statistical or aggregated information does not directly identify a specific person, but it may be derived from Personal Data. For example, we may aggregate Personal Data to calculate the percentage of users in a particular country. If we combine Other Information with Personal Data, we will treat the combined information as Personal Data. The processing of such personal data is necessary for the performance of a contract with you, or part of your undertaking to enter into a contract with us. In case, the information is unrelated to any (future) contract, we process the Personal Data based on our legitimate interests to provide you with information about Telenav and also to keep our systems safe. We keep all information collected confidential and will only use the information for the particular purpose it was originally collected for. We will seek your specific permission for any additional use. We do not barter, trade, or sell access to your information without your specific consent.

Cookies, Web Beacons, and Similar Technologies on our Telenav Platform

When you access, use, register on and/or fill out a form on one of our Telenav websites or (including telenav.com, scoutgps.com, scoutgpslink.com, skobbler.com, skobbler.de or chatbaka.com), or register for services using the Telenav Platform, we collect data from you in several ways. The types of Personal Data collected include: cookies, usage data, your name, your company name, your email address, your phone number, and other contact information.

We employ browser cookies or similar technologies to identify the computer or mobile device and record your preferences and other data. We use cookies or similar technologies to evaluate how our Telenav Platform, devices or applications are used and to provide continuous improvement to our Telenav Platform, make recommendations, and complete transactions you request. Cookies may be stored locally on mobile devices or on computer servers we operate or control. We may use a tracking pixel, agent or other visitor identification technology that collects anonymous data about your use our Telenav Platform. We may also use Web beacons, also known as Web bugs, which are mostly invisible small graphic images, in the same color as the background of the web page or an HTML email, to monitor interaction with our Telenav Platform or emails. In addition, when you access or use our Telenav Platform our systems automatically collect your IP address and the type of browser that you use, and in certain instances your geo-location and route. When you browse our Telenav Platform our systems log the Telenav web pages that you visit. Server log files are records of activity automatically created by the server and stored. If we combine or link cookie or Web beacons with Personal Data, we will treat the combined or linked information as Personal Data under this Policy. We may employ third parties to place advertisements about our products and services on other websites or make available to you advertisements on our Telenav Platform or your device about our or third-party products or services. The use of cookies, Web beacons or other similar technologies by such third parties is governed by their privacy policies.

You may limit the automatic collection of certain information through the use of cookies by our Telenav Platform by disabling the cookies using your browser options. Please be aware that disabling cookies may prevent you from using specific features on our Telenav Platform.

The collected information is also disclosed to and processed by Google and is used to enable features including but not limited to remarketing and display advertising. We use remarketing, display retargeting and search retargeting with Google Adwords to advertise online and third-party vendors, including but not limited to Google, show our ads on our Telenav Platform across the Internet. We also use Google Analytics to optimize our Telenav Platform. Telenav and third-party vendors, including but not limited to Google, use first-party cookies (such as the Google Analytics cookie) and third-party cookies (such as the DoubleClick cookie) together to inform, optimize, and serve ads about our products and services based on your past visits to our Telenav Platform or your search history. These features are solely for purposes to allow us to maintain the interests of previous visitors and deliver advertisement content specifically targeting the visitors' previous interests and searches. You may opt out of such advertising using the Google Ads Preference Manager or obtain additional information available about Google's Remarketing Privacy Guidelines, Policies, and Restrictions and how Google uses data when you use their partners' websites or apps.

Also note that we do not have a system to comply with Do Not Track requests at this time, unless required by applicable laws or regulations.

If we combine Other Information with Personal Data, we will treat the combined information as Personal Data.

Legitimate Interests for Processing Data

We will use data collected from you for the following purposes:

  • Analytics;
  • To respond to user inquires and customer support requests; and
  • To send emails or to contact you by other means regarding your account and/or to inform you about our products and services that may be of interest to you.

We rely on either the legitimate interests pursued by us or by third parties, or on the necessity to perform a contract you a part of, or your consent, for the processing associated with the previously mentioned purposes.

Register/Information Related to Your Account

We may collect and store Personal Data about you when you register to become a customer of our services, access or use our products and services and when you otherwise transmit such information to us via our Telenav Platform or by email. For instance, to maintain and/or verify your account we may collect and store in a database your name, nickname(s), mobile phone number, mobile phone model, wireless carrier, and in certain circumstances your email address, device ID/number. In certain versions of our applications, you may also be given the option to provide a profile photo.

When you choose to access our Telenav Platform through a Facebook log-in, we collect your name, email, token ID and user ID with your permission. Your name will be displayed and stored within our application and your email will be stored to provide future access to our Telenav Platform. We may use this email to contact you regarding your account and/or to respond to any inquiry or feedback you submit from within our applications. If you want to revoke authorization for our Telenav Platform to interact with your Facebook account, you can sign out of Facebook from within the Services’ settings menu, remove the Telenav Platform from the list of permitted Apps, or turn off the Platform for Apps, Plugin and Telenav Platform from the Settings menu for your Facebook account.

When you choose to access one of our Telenav Platform through a Google Sign in, we collect your email and basic profile information with your permission, which will be stored to provide future access to our Telenav Platform. We may use this email to contact you regarding your account and/or to respond to any inquiry or feedback you submit from within our Telenav Platform. If you want to revoke authorization for our Telenav Platform to interact with your Google account, you can sign out of Google from within the Services’ settings menu.

We may also use the information that we collect about you to manage your Telenav account and provide you with customer support, perform research and analysis about your use of our products and services, to inform you from time to time by email, Short Messaging Service (SMS) message and/or within our Telenav Platform about products or services similar to those you are already using, unless you inform us that you opt out from receiving such communications from within the email, SMS message or the Telenav Platform. We may share the information we collect about you in anonymized format and your usage activity with our third-party partners for the purpose of performing research and analysis about users of our products and services.

For users of Ford Navigation or the FordPass application, we will not receive your Ford username or PIN. Telenav will receive from Ford a unique user ID that does not contain any Personal Data. Your user ID will be stored and used to identify you whenever you make a search request.

Contact Our Customer Service Representatives/In-App Feedback

We may use your email address to contact you with regard to your account, such as to communicate that it is about to expire or to confirm any change to your phone number, and to respond to any inquiry or feedback you submit via our Telenav Platform by email or from within any of our applications. You may opt-out of receiving such communications using the link provided within the email.

Additionally, if you provide feedback regarding a routing or map issue within our Telenav Platform, we may share your comments and anonymized data about your location and route with the OpenStreetMap community for purposes of improving OpenStreetMap data.

Accessing Our Telenav Platform

When you use our Telenav Platform, you will be asked to provide certain information. We may use your mobile phone number as your account number and if you consent may provide you with a verification code via SMS message. We may also assign you a separate and unique ID number as your account number. Your account number may be stored and used to manage your account and provide you with customer support, perform research and analysis about your use of our Telenav Platform, to inform you from time to time by email, SMS message and/or within our Telenav Platform about products or services that you are similar to those you already use, unless you inform us that you opt out from receiving such communications from within the email, SMS message or the Services.

Some of our services or products also allow you to create a personal identification number (PIN), which we store in our database, for the purpose of you logging into your account. In some cases, this PIN is generated for you automatically on your wireless device and cannot be altered.

Some of services or products also give you the option of providing us with your home and work addresses, which we store in our database, to enable you to access readily other features of our Telenav Platform.

On some versions of our Telenav Platform you can also create a list of "favorite" addresses that can include your home and work addresses. We store these addresses in our database so that you can access them from your mobile device, and so that should you change devices, this collection of addresses will still be available to you.

Third-Party Applications

Some of Telenav's products or services provide you with access to third party applications. When you enable a third-party application, information collected by Telenav is processed under our Privacy Policy while information collected by the third-party application provider is governed by such third-party’s own privacy policy.

Promotions

When you participate in a Telenav promotion, such as a sweepstakes or contest, we may ask you to provide your name and email address, and possibly other information such as your mailing address and telephone number.

We store this information in our database and will use it to communicate with you about the promotion. We may also use your email address from time to time to inform you about our products and services we think will be of interest to you and will seek your consent to the extent required.

Request for Information

When you request additional information about one of our products or services, either via our Telenav Platform or via one of our partners through which we may offer our products or services, such as a mobile telecommunications provider, information we collect through these requests include your name, nickname(s), phone number, and email address, and if you are seeking information on behalf of your company, the name of that company. We will use this information to provide you with details about our Telenav Platform and may use this information to promote the Telenav Platform to you in the future and will seek your consent to the extent required To understand what a partner of ours may do with information about you in the partner's custody, you should check the privacy policy of that partner.

Public Forums

If you use or link to public forums such as social networking services, blogs on Telenav or non-Telenav website, internet bulletin boards, or chat rooms, be aware that any Personal Data you submit can be read, collected, or used by other users of these forums, including to send you unsolicited messages. Telenav cannot prevent the distribution and use of such information by other parties.

Other Information and Submissions

When you use the voice command or entry features within Scout, Telenav Navigator or FordPass/Lincoln Way mobile applications, we record your audible utterance (what you said). We use this information to adjust speech recognition performance parameters to improve accuracy.

We will also collect information relating to your use of and the performance of our applications, including the state of your device at the time of an error or issue with the application, and such information is disclosed to and processed by third-party providers, including but not limited to Crashlytics, for purposes of collecting information about errors or issues within our applications so we may improve our applications.

We may retain any data you provide to us in an email inquiry, for the purpose of tracking the types of questions we receive.

We collect Personal Data about you when you submit survey responses, a job application or resume. We will use such information only for the stated purposes.

Information from Other Sources

We may obtain information about you from outside sources and add to it or combine it with your Personal Data. For example, we may collect demographic and marketing data about you from third parties for marketing research and analysis to improve our products/services, obtain updated address information from our shippers, or collect information from other vendors that promote and distribute our products through their own brands.

Other Websites or Telenav Platform

For your convenience, this website contains links to other websites, including some websites we administer, or which other companies administer on our behalf, as well as to websites unrelated to Telenav. This Privacy Policy does not apply to non-linked websites. You should check each website for its own privacy policy.

Legal Basis for Processing Personal Data

Telenav processes your personal data in accordance with the applicable data protection laws. We therefore process your personal data for the following legal grounds:

- for the performance of a contract to which you are a party or in order to take steps at your request prior to entering a contract

- for the purposes of our legitimate interests or those of a third party

- for compliance with a legal obligation to which we are subject

- your consent.

Information on U.S. Wireless Devices

The Telenav software (and any upgrades, modifications, or additions thereto) that is factory installed or downloaded to, and resides in, your car or upon your U.S. wireless device, retains your manually entered account number and PIN, or reads it from the device. Having your carrier change the assigned phone number for your wireless device does not change the account number we maintain with regard to that device, which will result in your device not being able to access your Telenav account established using the previous phone number. 2 HOW WE ADDRESS THE PRIVACY OF CHILDREN

We recognize that we have a special obligation to protect personal information obtained from children. We will not knowingly request or collect personal information from any child, or process such information, without prior verifiable parental or legal guardian consent. If, however, you authorize a child to use our Telenav Platform, including by providing them a device associated with your Telenav service, any Personal Data associated with such use will be treated as your information in accordance with this policy. Telenav encourages parents to be involved in the online activities (including wireless Internet browsing) of their children to ensure that no information is collected from a child without parental or guardian consent. For the purpose of this Policy, a child means any individual who is under the age of 13 (or the minimum legal age to consent to the collection and processing of personal information where this is different under applicable law).

If you are under the age of 13, please do not submit any personal information through the Telenav Platform. If you have reason to believe that we may have accidentally received information from an individual under age of 13, please contact us immediately at privacy@telenav.com.

3 STEPS TO SAFEGUARD PERSONAL DATA

We and our employees understand the need for your privacy, and we maintain reasonable and appropriate security procedures to protect your information from loss, misuse and unauthorized access, disclosure, alteration and destruction, taking into due account the risks involved in the processing and the nature of the Personal Data. For instance, Telenav limits access to Telenav systems that store such information to authorized personnel. Telenav also employs the Secure Sockets Layer (SSL) protocol to protect your Personal Data, therefore transmissions are secured by using encryption.

While Telenav maintains a multitude of security measures to prevent unauthorized access to or disclosure of your Personal Data, no security measures are absolute or wholly guaranteed. We recommend you protect yourself against any unauthorized access to your account, implicitly to your password, which you are responsible for keeping it confidential and not share it with anyone.

If required by law, we will notify you if it determines there were unauthorized acts that violate the law or this policy, or other security breaches.

4 HOW LONG PERSONAL DATA IS RETAINED

We will retain your Personal Data for no longer than we believe is necessary for the purposes outlined in this Policy. The length of time we retain Personal Data, and criteria for determining that time, are dependent on the nature of the Personal Data and the purpose for which it was provided. For example, we retain your Personal Data related to managing your account (such as name, email address, account content and preferences) for as long as they are retained by you within your account. We may typically maintain other data, such as records of your activity within the application, only for a short period before being anonymized or pseudonymized. We may also retain your Personal Data for other purposes permitted under applicable law, including, for example, defense of any legal claims. Additional information may be provided based on what is applicable to the product or service you are using. 5 WITH WHOM TELENAV SHARES PERSONAL DATA

Telenav companies and authorized third parties

We may share Personal Data with our affiliates and subsidiaries, partners, vendors or agents working on our behalf for the purposes described in this Policy. For example, we may hire companies to assist with protecting and securing our systems or services and to support the purposes described in Section 1. We may share Personal Data with the following categories of recipients: hosting providers, cloud SaaS software providers for employee recruiting, payment providers, email service providers, security and authentication providers, user support providers, advertising providers, marketing providers, analytics providers.

Any vendor or agent that we retain must comply with our data privacy and security requirements and this Policy and are not allowed to use Personal Data they receive from us for any other purpose. Like us, they will never barter, trade, or sell access to your Personal Data. We remain responsible and liable under data protection laws if third-party agents we engage to process Personal Data on our behalf do so in a manner inconsistent with the applicable data protection laws, unless we prove that we are not responsible for the event giving rise to the damage.

International transfers of Personal Data

Our products and services may be provided using resources and servers located in various countries around the world. Therefore, we or our partners, vendors or agents may transfer your Personal Data across international borders outside the country where you use our Telenav Platform, including to countries outside the European Economic Area (EEA) that do not have laws providing specific protection for Personal Data or that have different legal rules on data protection, for example, the United States of America. In such cases we ensure that, prior to any transfer, there is a legal basis for such a transfer and that adequate protection for your Personal Data is provided as required by applicable law, for example, by using standard contractual clauses approved by the European Commission or relevant authorities (where necessary) and by requiring the use of other appropriate technical and organizational information security measures. Mandatory disclosures

If we decide to sell, buy, merge or otherwise reorganize our businesses in certain countries, this may involve us disclosing Personal Data to prospective or actual purchasers and their advisers, or receiving Personal Data from sellers and their advisers. In case of such disclosures of Personal Data, we will comply with all applicable privacy requirements.

6 YOUR RIGHTS

Please be informed that, in ensuring that we are responding to and processing the proper request, we will require, to the extent permitted by applicable law, proof of identity. One such means of proof, might consist of asking you to submit your request from the email address you used for creating your account. You have the following rights:

  • The right to know what Personal Data we hold about you and to access it. To the extent that your request is manifestly unfounded or excessive, we reserve the right to charge a reasonable fee (taking into account the administrative costs of providing the information or communication or taking the action requested) or refuse to act on the request.
  • The right to have incomplete, incorrect, unnecessary or outdated Personal Data updated.
  • The right to request your Personal Data to be erased.
  • The right to object to or restrict the processing of your Personal Data, in certain circumstances. Such withdrawal shall have no impact to the data processing activities that have taken place before the withdrawal or to any other further processing activity of your Personal Data which is justified by an existing legal justification. Please note if you withdraw your consent, we may not be able to continue providing services to you.
  • The right not to be subject to any automatic individual decisions which produces legal effects on you or similarly significantly affects you.
